Important Notice
These Terms govern use of the App and DTPL's services. They do not, by themselves, constitute a loan sanction or a promise of funding. The final lending decision, if any, is made by the relevant Lender or Regulated Entity.
These Terms and Conditions ("Terms") constitute a legally binding agreement between Datasigns Technologies Private Limited ("DTPL", "we", "us", or "our") and any person accessing or using the website www.myshubhlife.com, the MyShubhLife mobile application, related internet-based applications, embedded finance journeys, APIs, digital forms, partner channels, or other interfaces through which DTPL makes services available (collectively, the "App").
MyShubhLife ("MSL") is the brand of DTPL. Following the acquisition of DTPL by U GRO Capital Limited ("U GRO"), DTPL may, depending on the product or workflow, act as a technology service provider ("TSP"), lending service provider ("LSP"), servicing support provider, collection support provider, or other operational intermediary for U GRO and/or other regulated entities, banks, non-banking financial companies, and co-lending partners (collectively, "Lender" or "Regulated Entity").
These Terms govern your access to and use of the App and the services rendered by DTPL through or in relation to the App ("Services"). By accessing the App, creating an account, clicking to accept, proceeding through a digital journey, or using any part of the Services, you agree to be bound by these Terms, as may be updated from time to time.
Nothing on the App shall be construed as an offer, sanction, or guarantee of any loan or financial product by DTPL. The final decision on sanction, pricing, documentation, and disbursal of a financial product rests with the relevant Lender or Regulated Entity. Use of the App does not imply any approval, endorsement, or authorisation of DTPL by the Reserve Bank of India.
Certain Services may be subject to additional or supplemental terms, including product terms, lender terms, Key Fact Statements, sanction terms, e-NACH or mandate terms, consent artefacts, co-lending disclosures, partner-specific journey terms, or loan documents. In case of conflict, the product-specific or lender-specific documents applicable to the relevant service or transaction shall prevail to the extent of such conflict.
If you are an individual, you must be a resident of India, be at least 18 years of age, and be capable of entering into a valid contract under applicable law. If you are acting on behalf of a non-individual entity, you represent that you are duly authorised to do so and that the entity is validly existing and capable of entering into binding obligations.
Use of bots, scraping tools, emulators, unauthorized automation, or any tool designed to bypass, interfere with, or manipulate the App is prohibited unless expressly permitted by DTPL in writing.
To use certain Services, you may be required to register and maintain an account ("Account"). During account setup, we may ask for information such as your name, address, date of birth, mobile number, email address, business details, and other identifiers required for the relevant service.
You agree to provide accurate, complete, current, and truthful information, and to promptly update the same where it changes. Failure to maintain accurate information may result in refusal, suspension, restriction, or termination of access to the App or Services.
You are responsible for maintaining the confidentiality of your login credentials, OTPs, device-based access, and any security mechanism associated with your Account. You are responsible for all activity that occurs under your Account unless such activity is attributable to a failure of our systems or controls. Unless otherwise permitted in writing, you shall maintain only one Account for your own use.
Information submitted during account setup and subsequent use of the App will be handled in accordance with the Privacy Policy, which forms an integral part of these Terms.
For undertaking financial transactions or facilitating access to financial products through the App, DTPL and/or the relevant Lender may undertake customer due diligence, KYC, KYB, sanctions and watchlist screening, fraud checks, enhanced due diligence, risk reviews, video KYC, CKYCR checks, and such other checks as may be required under the Prevention of Money Laundering Act, 2002, applicable RBI directions, lender policy, or other applicable law.
You agree to furnish such information and documentation as may be required for identity verification, address verification, business verification, source-of-funds checks, regulatory compliance, fraud prevention, underwriting, legal due diligence, or servicing. You acknowledge that incomplete, misleading, false, outdated, or unverifiable information may lead to rejection, delay, suspension, reporting to the relevant authority where required, or termination of the service.
You also agree that DTPL and/or the relevant Lender may obtain and use credit reports, bureau scores, bank statement data, Account Aggregator-based information, business records, GST or tax-related documents, employment details, references, public records, and other lawful sources of data, subject to applicable consent requirements and laws.
The Services may include, without limitation, digital onboarding, customer acquisition support, account creation, pre-screening, preliminary eligibility checks, technology-enabled underwriting support, transmission of application data, workflow orchestration, document collection, KYC or verification support, communication support, servicing support, collections support, complaint intake support, analytics, and such other technology and operational functions as may be permitted by law and contracted with the relevant Lender.
Where DTPL is acting as an LSP or TSP, it may make a preliminary or technology-enabled assessment of eligibility, credit profile, product fitment, or workflow readiness. However, the final decision on whether to sanction or disburse a loan or financial product is made solely by the relevant Lender using its own policies, processes, and decisioning framework.
DTPL is not obliged to disclose its internal scoring logic, algorithms, policy thresholds, or assessment methodology to you. A preliminary indication shown on the App does not constitute a binding approval, sanction, or promise of disbursal.
If the App permits you to apply for a loan, short-term credit facility, line, or any other financial product, you agree to provide true, complete, and updated information in connection with such application.
You understand that any credit facility, if approved, is a transaction between you and the relevant Lender or Lenders. The applicable Lender, co-lender, or regulated entity will be identified to you in the relevant journey, disclosure, offer, Key Fact Statement, sanction communication, or loan documentation.
Before availing a product, you may be required to review and accept the product-specific terms, schedule of charges, repayment terms, key disclosures, consents, and loan documentation. You agree that those product documents shall bind you in addition to these Terms.
Separate lenders may apply different underwriting standards, legal conditions, documentation requirements, and disbursal criteria. DTPL shall not be liable merely because a Lender rejects, delays, reprices, conditions, or withdraws a product application.
Where a loan or facility is sanctioned by a Lender, you agree to repay all principal, interest, charges, fees, taxes, and other dues strictly in accordance with the repayment schedule, mandate terms, loan documents, and instructions of the relevant Lender.
You authorise DTPL, to the extent permitted by law and the role assigned to it by the relevant Lender, to facilitate servicing communications, payment reminders, mandate setup support, repayment reconciliation support, customer support, or collection support in connection with such product.
Any dispute relating to loan sanction, pricing, interest, fees, or repayment shall primarily lie between you and the relevant Lender, without prejudice to DTPL's rights and responsibilities where DTPL's own actions are in issue.
You agree that DTPL and, where applicable, the relevant Lender or authorised service providers may communicate with you through the App, SMS, e-mail, telephone, WhatsApp, in-app notifications, or other approved channels for account setup, OTP authentication, KYC, servicing, customer support, grievance handling, legal notices, security alerts, recovery or repayment reminders, and regulatory communications, to the extent permitted by law.
Optional promotional communications, where any, shall be subject to applicable law and your preferences. Transactional, account-related, security, and legally required communications may continue even if you opt out of optional marketing communications.
You agree that DTPL may, where it is engaged by the relevant Lender and where permitted by law, send lawful repayment reminders, servicing messages, and collection-related communications in relation to dues under a product availed by you.
Any collection, reminder, or recovery support by DTPL or its authorised agencies shall be subject to applicable law, the relevant Lender's code of conduct, fair practices requirements, customer dignity and privacy requirements, and time/place/channel restrictions prescribed by law or policy.
For avoidance of doubt, DTPL does not use your contact list or call logs to trace you or contact third parties about your whereabouts merely because you used the App. Any outreach to references, guarantors, co-applicants, authorised representatives, or other persons shall be made only where legally justified, contractually supported, and appropriately disclosed.
You are responsible for obtaining the data connectivity, device compatibility, and software environment necessary to access and use the App. Your telecom provider's charges, data fees, and message fees may apply.
DTPL does not guarantee that the App or every Service will function on every device, browser, operating system, or network environment. The App may be affected by internet instability, maintenance windows, device limitations, software conflicts, or security restrictions.
Subject to your compliance with these Terms, DTPL grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the App and the related content solely for your personal or internal business use in connection with the Services. No intellectual property rights are transferred to you except for the limited right of use granted in the Terms herein.
You shall not copy, modify, adapt, reverse engineer, decompile, distribute, license, sell, lease, publicly display, broadcast, exploit or create derivative works from the App and Services or any portion thereof except as expressly authorised by DTPL in the Terms herein.
By submitting any data, document, image, message, business record, or other material through the App ("User Content"), you represent that you have the lawful right to provide it and that it is not false, misleading, unlawful, infringing, defamatory, harmful, or in violation of any third-party rights.
As a condition of use, you promise not to use the Services for any purpose that is prohibited by the Terms, or other rules or policies implemented by us from time to time; or in violation of any applicable laws. The Services (including, without limitation) is provided only for your own personal and internal business use. You shall not upload, publish, transmit, or store any content that is unlawful, obscene, invasive of privacy, harmful to children, defamatory, discriminatory, infringing, malicious, misleading, or designed to disrupt or compromise the App or any connected systems. Furthermore, you shall not (directly or indirectly) take any action that imposes or may impose an unreasonable or disproportionately large load on Company's (or its third party providers') infrastructure, interfere or attempt to interfere with the proper working of the App or any activities conducted on the App, bypass any measures we may use to prevent or restrict access to the App (or parts thereof), decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the App, except to the limited extent applicable laws specifically prohibit such restriction. You shall not modify, translate, or otherwise create derivative works of any part of the App or copy, rent, lease, distribute, or otherwise transfer any or all of the rights that you receive hereunder.
You grant DTPL the right to use, store, process, transmit, reproduce, and disclose User Content to the extent necessary to operate the Services, comply with law, support the relevant Lender, conduct reviews, maintain records, resolve disputes, prevent fraud, and enforce these Terms. This clause does not authorise DTPL to use your personal data in a manner inconsistent with the Terms herein, DTPL's Privacy Policy or applicable laws.
DTPL reserves the right to disable any Account from the App at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities; or if DTPL is concerned that You may have violated the Terms of Service), or for no reason at all with or without notice to the User/Users.
You understand that the credit facility, if granted, to you via the App, is subject to additional rules and regulations as notified by the respective Lender/s that grant such credit facility. You agree to abide by such rules and regulations imposed by the Lender/s. DTPL shall not be liable for any dispute that arises between the User/s and the Lender/s.
The App and Services are provided on an "as is" and "as available" basis. DTPL uses commercially reasonable efforts to maintain availability, functionality, and security; however, DTPL does not warrant that the App will always be uninterrupted, error-free, free from delay, free from malicious code, or compatible with every device or network.
DTPL disclaims all warranties not expressly set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes any statutory right that cannot legally be excluded.
These Terms become effective when you first access or use the App and continue until terminated by you or by DTPL.
DTPL may suspend, restrict, or terminate your access to the App or Services, with or without prior notice where appropriate, if: (a) you breach these Terms or any applicable product terms; (b) you provide false, misleading, incomplete, or unverifiable information; (c) continued access is considered a security, fraud, legal, or regulatory risk; (d) required by law, regulator, court, or the relevant Lender; or (e) the relevant product, relationship, or service arrangement comes to an end.
Termination or suspension of App access does not extinguish any outstanding repayment, legal obligation, indemnity, confidentiality, record retention, dispute resolution, or other surviving obligations.
In the course of your dealings with DTPL, either party may receive confidential or proprietary information of the other. Each receiving party shall use such information only for the legitimate purpose for which it was disclosed, shall protect it using reasonable care, and shall not disclose it except to the extent required for performance, law, regulatory process, or with prior authorisation.
This clause does not prevent lawful sharing with the relevant Lender, professional advisers, auditors, regulators, courts, or service providers on a need-to-know basis and subject to confidentiality obligations.
The User is solely responsible for maintaining the confidentiality of the Account credentials, if the User is registered on the App. You shall be responsible for all usage of your Account, whether or not authorized by you. You shall immediately notify DTPL of any actual or suspected unauthorized use of the Account. DTPL shall not be liable for any losses caused by any unauthorized use of the Account, however, you may be liable for the losses of DTPL or such other parties as the case may be, due to any unauthorized use of your account.
Your use of the App is also governed by the Privacy Policy. By using the App or Services, you acknowledge that your information may be collected, used, retained, and shared in accordance with the Privacy Policy, these Terms, and applicable law.
You agree to indemnify and hold harmless DTPL, its directors, officers, employees, affiliates, service providers, and authorised representatives from and against losses, claims, liabilities, penalties, actions, proceedings, damages, and costs arising from or relating to: (a) your breach of these Terms, Privacy Policy or applicable law; (b) your submission of false or misleading information; (c) infringement of third-party rights through your use of the App; or (d) misuse of the App or Services by you, except to the extent caused by DTPL's own fraud, wilful misconduct, or gross negligence.
To the extent permitted by law, DTPL shall not be liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the services for indirect, incidental, special, punitive, exemplary, or consequential loss, including loss of profit, loss of opportunity, loss of goodwill, or loss arising from lender decisions, network failure, unauthorised access not attributable to DTPL's breach of reasonable security practices, or events beyond DTPL's reasonable control.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by law, including for fraud, wilful misconduct, or such statutory rights as cannot be waived. Subject to the foregoing, DTPL's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the service fee actually charged by DTPL to you for the specific Service giving rise to the claim, if any.
You may not assign, transfer, or create any encumbrance over your rights or obligations under these Terms without DTPL's prior written consent. DTPL may assign or transfer its rights or obligations under these Terms to an affiliate, successor, group entity, acquirer, financier, or service transferee in connection with a restructuring, merger, acquisition, corporate reorganisation, or service transition, subject to applicable law.
These Terms shall be governed by and construed in accordance with the laws of India. Subject to any mandatory forum under applicable consumer or regulatory law, courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms.
DTPL shall not be liable for delay or failure in performance to the extent caused by events beyond its reasonable control, including natural disasters, epidemics, pandemic-related restrictions, war, riot, fire, flood, labour disruption, telecom or internet outage, failure of utility services, cyberattack despite reasonable safeguards, governmental action, or failure of third-party infrastructure not caused by DTPL's fault.
No failure, omission, or delay by DTPL in exercising any right, power, or remedy under these Terms shall constitute a waiver thereof or affect its subsequent exercise. No waiver of any provision of these Terms shall be valid unless made in writing and signed by an authorised signatory of DTPL. Any such waiver shall apply only to the specific instance for which it is given and shall not constitute a waiver of any subsequent or continuing breach.
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.
DTPL may send notices, legal communications, or service communications to the e-mail address, mobile number, in-app inbox, or postal address associated with your Account or provided by you during the relevant transaction or service journey.

If you have any complaint or grievance relating to the App, the Services, your account, your personal data, customer service, or a product journey facilitated through the App, you may contact DTPL through support@myshubhlife.com or grievance@myshubhlife.com.
Where the grievance relates to a lending product, the relevant Regulated Entity or Lender may also be involved in resolution. In accordance with the applicable digital lending framework, the Regulated Entity remains responsible for resolution of complaints arising out of the actions of the LSPs engaged by it. Where eligible, unresolved complaints may be escalated in the manner prescribed by the relevant Regulated Entity and the RBI Integrated Ombudsman mechanism.
These Terms, together with the Privacy Policy and the product-specific documents applicable to the relevant service, constitute the entire agreement between you and DTPL in relation to the App and Services, and supersede prior understandings to the extent they relate to the same subject matter.
